Terms of service

What you agree to when you use finpo, what we commit to in return, and what happens if either side wants to stop.

Last updated

This draft has not been reviewed by a lawyer. It describes how finpo actually handles data today and is accurate to the software, but it has not been checked against the NDPA, the GDPR, or any other law it may need to satisfy. Please have it reviewed before relying on it.

1. Who these terms are between

These terms are an agreement between Nikcano Global Services, trading as finpo, and the business that opens an account. If you are agreeing on behalf of a business, you are confirming that you are allowed to bind it.

finpo is sold to businesses. It is not a consumer product, and some rights that consumer law gives to individuals will not apply to you.

2. What the service is

finpo is point of sale, stock and anti-theft software for your business, along with a staff playbook for procedures, recipes and onboarding. The anti-theft rules, the checkout, the ledger and the playbook search all run on fixed logic over your own records. No AI model is involved in any of it.

The AI add-on is a separate, opt-in feature, off by default. Where you turn it on, it uses a language model to answer questions about your playbook or your business, and it will sometimes be wrong: it can misread a question, and it can give an answer your own records do not support. You are responsible for what it tells your staff, so do not point it at decisions that need to be right every time without a person checking.

3. Your account

Keep your password to yourself and tell us promptly if you think somebody else has it. You are responsible for what the people you invite into your workspace do in it. Give us accurate details and keep them current, because that is where we send notices about billing and security.

4. What you may not do

  • Break the law with it, or help somebody else to.
  • Use the anti-theft features to harass, discriminate against or unlawfully monitor staff beyond what the monitoring notice they accept describes.
  • Upload content you have no right to use, or procedures and recipes that infringe somebody else’s rights.
  • Use it to handle payment card numbers, health records, or anything else that carries a regulatory regime we have not agreed with you in writing.
  • Try to get around the AI add-on’s credit metering, the rate limits, or the plan limits, or resell the service without our agreement.
  • Attack the service, probe it, or interfere with anybody else’s use of it.

5. Your content, your staff and your customers

Your sales, stock, recipes, procedures and the accounts you set up for your staff are yours. We do not claim ownership. We use them only to run the service for you and to do the things our data processing agreement permits.

We do not train models on your data. If you turn on the AI add-on, a question is sent to a model provider to generate an answer, along with playbook content you have separately marked shareable, which is set out in the privacy notice.

You are the controller of your staff’s and your customers’ personal data. Telling them how you use it, and having a lawful basis for doing so, is yours to do, not ours.

6. The Free plan, plans and payment

  • New businesses start on the Free plan of finpo cloud, with no card and no end date. It has smaller limits than the paid plans. On a shop computer, nothing is sent to finpo cloud until the owner turns it on there.
  • Paid plans are paid in advance, monthly or yearly, in naira, through Flutterwave. Yearly is billed once for the year. Every plan includes the full anti-theft engine; the tiers differ in how many products, staff, branches and playbook procedures they allow.
  • The AI add-on, if you turn it on, is a separate flat monthly fee with its own fair-use credit allowance. Credits are used by AI questions only. Nothing else in finpo uses them. Add-on credits do not roll over and reset with your cycle; top-up credits, bought separately, never expire and are only spent once the allowance is gone.
  • Prices may change. If they do we will tell you at least 30 days before your next renewal, and you may cancel instead of renewing.
  • Fees are exclusive of any tax that applies, which is added where it is due.

7. If a payment fails

Your workspace keeps running during a short grace period while we retry. If payment has still not succeeded when that ends, the workspace pauses: staff cannot sign in until you reactivate it, and your data stays exactly where it is. Paying brings it back.

8. Cancelling

You can cancel at any time from the billing screen. Cancelling stops the next renewal and the service runs to the end of the period you have already paid for. We do not refund part of a period, except where the law requires it or where we have failed to provide the service and cannot put it right.

You can close your business whenever you like. It is marked for deletion immediately and permanently erased 30 days later. Ask for an export of anything you want to keep before you close it, because after those 30 days we cannot recover it.

Audit trail records, webcam snapshots, security events and provider logs are kept for 90 days and then deleted automatically. The inventory ledger (sales, stock, and money records) is not subject to this limit and is kept as your permanent business record.

9. Availability

We work to keep finpo available and we do not promise that it always will be. We depend on providers we do not control, including the payment provider, our email provider, and, if you use it, the AI add-on’s model provider, and an outage at any of them can become an outage here. We do not currently offer a service level agreement. If you need one, talk to us.

We may change the service as it develops. Where a change removes something you depend on, we will give you reasonable notice.

10. Suspension

We may suspend a workspace without notice if it is being used to break the law, if it is attacking or degrading the service for others, or if we are legally required to. Otherwise we will tell you what is wrong and give you a chance to fix it first.

11. Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Beyond that: neither side is liable for indirect or consequential loss, for lost profits, lost revenue, lost business or lost goodwill. Our total liability in any twelve month period is limited to what you paid us in the twelve months before the claim.

finpo is provided as it is. We do not warrant that the AI add-on’s answers will be accurate or fit for a particular purpose, and section 2 explains why you should not rely on them as though they were.

12. Indemnity

If somebody brings a claim against us because of the content you uploaded, the way you used the service, or your handling of your customers’ data, you will cover our reasonable costs of dealing with it.

13. Changes to these terms

We may update these terms. If a change matters to you we will email account holders at least 30 days before it takes effect. Continuing to use finpo after that is acceptance. If you do not accept, cancel before the change takes effect and we will refund the unused part of any period you have paid for.

14. Law and disputes

These terms are governed by the law of the Federal Republic of Nigeria, and its courts have exclusive jurisdiction. Please raise a dispute with us first at support@nikcano.com. Most things are quicker to settle that way.

15. Everything else

If a provision is unenforceable, the rest stands. Not enforcing something once does not waive it. You may not transfer this agreement without our consent; we may transfer it as part of a sale of the business. These terms, the privacy notice and the data processing agreement are the whole agreement between us.
